Pannaway Technologies and Com Net, Inc., Help Rural Telcos to Deliver Converged Broadband Services Across Ohio

Deal will Enable Clients of Com Net, Inc., to Cost-Effectively Deliver Next-Generation Broadband Services Using Pannaway's Service Convergence Network (SCN™)

Portsmouth, NH - November 30, 2005 - Pannaway Technologies, Inc., designers and developers of RUS listed, converged broadband voice, video and data platforms, today announced a network solutions provider relationship with Com Net on its solution for delivering converged broadband services. Com Net, an Ohio-based consortium made up of 21 independent local exchange carriers (ILEC) and one Electrical Cooperative, provides operation support services to its shareholder and non-shareholder clients providing local telecommunications services. Established in 1993 by a group of local independent operating carriers (IOC), Com Net allows local telecommunications providers to leverage shared resources and service and support capabilities, reaching thousands of subscribers across the state of Ohio. The agreement with Pannaway will allow Com Net shareholder and non-shareholder clients to take advantage of Pannaway's award-winning Service Convergence Network (SCN™) for the delivery of high-revenue broadband voice, video, and data services to their towns and communities. Numerous Com Net companies have already begun to deploy the Pannaway solution including Ayersville Telephone Company, Glandorf Telephone Company and Arthur Telephone.

"Pannaway's system solution for the distribution network contains several unique features that make it a great choice for a number of our clients," said Tim Berelsman, CEO of Com Net. "Our goal as an organization is to provide Com Net shareholder and non-shareholder clients with the services and tools to compete with and thrive against larger, more established telecom and cable providers. The combination of Pannaway's Service Convergence Network solution and Com Net's On-going Operation Support Services will enable our provider-class clients to deliver high-quality, reliable converged broadband services without taking away from the local spirit and sense of community that they have worked hard to foster. With this combination of next-generation technology and local ownership and operation and service for the local broadband distribution network, we are confident that subscribers will be able to get what they are looking for - affordable, cutting-edge converged broadband services along with the comfort of knowing who is on the other end of the line."

The ability exists for several of Com Net's Shareholders that are also members of the Broadband Network Group (BNG) to leverage the BNG fiber ring, a fiber ring made up of leased segment facilities from the members of BNG, to maintain lower infrastructure costs through shared resources. The deal with Com Net marks the first time that Pannaway has entered an agreement with such a consortium. The agreement between Com Net and Pannaway does not represent an exclusive relationship, therefore the Individual Com Net companies will have the freedom to evaluate and select the optimal broadband services technology for their service area. Pannaway welcomes this competitive opportunity and feels confident that its solution will deliver the cost-effectiveness, flexibility and support for next generation broadband services along with the quality of service that shareholders and non-shareholders have grown to expect from Com Net. Pannaway feels confident it can meet and exceed Com Net and Com Net's Client's expectation by combining its technology, marketing and sales support programs to deliver an unprecedented level of service and support.

"This deal with Com Net has already created a number of opportunities for us," said Mark Carpenter, president of Pannaway Technologies. "Com Net and its member providers have demonstrated a genuine interest in delivering cutting-edge, next-generation services to their customers. This joint partnership will ensure that tens of thousands of broadband subscribers will have access to high-quality, reliable converged data, video and voice services. We look forward to working with Com Net to spread triple play services across Ohio, and will be announcing deals with several of Com Net's clients in the coming weeks and months."
